1. Introduction
KINX PAY INC registered with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC) as a Money Service Business (Registration Number: C100000482).
These Terms and Conditions (the “Terms”) constitute a legally binding agreement between you (“User”, “you” or “your”) and KINX PAY INC (“KINX PAY INC”, “we”, “us” or “our”) governing your access to and use of the website www.kinxpay.io (the “Website”) and all related platforms, systems, services, products, applications, and any associated content (collectively, the “Services”).
By accessing, registering with, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Services.
2. Scope of Terms of Use
These Terms of Use govern the opening, use and closure of your KINX PAY INC Account and other related payment services as referred to herein. Together with any other terms and conditions referred to in these Terms of Use, they constitute the agreement between you and us. For the use of additional services, you may have to accept additional terms and conditions as notified to you when you are ordering or using such services. You are advised to print or download and keep a copy of these Terms of Use for future reference. You can always view the current Terms of Use on our Website.
Depending on the type of KINX PAY INC Account you have; additional terms and conditions may apply as communicated to you at the appropriate time. In the event of any conflict between the additional terms and conditions and these Terms of Use, the former shall come first.
3. Scope of Services
KINX PAY INC provides financial and payment services, including but not limited to:
– The provision of multi-currency International Bank Account Numbers (IBANs);
– Cross-border and domestic payment processing via SWIFT and SEPA;
– Cryptocurrency-based payment processing;
– Credit card acquiring and processing;
– Payroll and invoicing solutions;
– Other related financial services and solutions.
KINX PAY INC reserves the right to amend, suspend, or terminate any Service at its sole discretion without prior notice, unless otherwise required by applicable law.
4. Eligibility
The Services are intended solely for persons who are at least eighteen (18) years old and have the legal capacity to enter into binding agreements.
KINX PAY INC exclusively serves non-resident international clients and does not onboard Canadian residents or entities. To access the Services, you must be successfully onboarded by KINX PAY INC, including fulfilling all KYC, AML, and related regulatory obligations.
KINX PAY INC does not accept clients rated as “Extreme Risk” by our automated risk engine or Compliance review. High-risk clients, including politically exposed persons (PEPs), clients with adverse media, or those in high-risk sectors, may only be onboarded with Enhanced Due Diligence (EDD) and prior Compliance approval.
To access the services, you must be successfully onboarded by KINX PAY INC, including fulfilling all KYC, AML, and related regulatory obligations.
5. Account Registration and Obligations
You must complete the registration process to access our Services. You agree to provide true, accurate, current, and complete information.
You shall be responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.
You must maintain an active address, phone number and email address; and satisfactorily pass all our required identity and security validation and verification checks.
You may not permit any other person to use your Account. Unless we otherwise permit, you may not open more than one Account and we may, without notice, close any or all of the Accounts of a Member who has, or whom we reasonably suspect has, unauthorised multiple Accounts.
You will promptly update your Account details if your name, address, email address or phone number changes.
6. Transaction Monitoring and Acceptance Criteria
All transactions must align with the declared purpose of your account and the nature of your business activity.
You authorize KINX PAY INC to process transactions via SWIFT, SEPA, card networks, or supported crypto networks.
KINX PAY INC may reject, delay, or reverse any transaction that:
– Violates applicable laws or our internal policies;
– Appears suspicious, structured to avoid thresholds, or inconsistent with your risk profile;
– Involves high-volume third-party payments not aligned with your declared purpose;
– Has insufficient funds available for completion.
All transactions are subject to ongoing monitoring using automated and manual controls, and any escalated cases may be subject to Compliance review.
7. Security
You must take all reasonable measures to ensure that your KINX PAY INC Account password and any other security features remain secure at all times and must not disclose them to anyone. Our staff will never request your password from you or ask you to provide it to a third party. If you receive any message or visit any website that requests your password or any other security feature—except for the official KINX PAY INC website—you should immediately report it to us. Should you have any doubts about the legitimacy of a website, please reach out to Customer Service using one of our available support channels.
We also recommend that you change your password regularly (at least every three (3) to six (6) months) to minimize the risk of unauthorized access to your KINX PAY INC Account. Additionally, please avoid selecting passwords that are easily guessable from information someone might know about you or that have a significant meaning.
You must never permit anyone else to access your KINX PAY INC Account or observe you accessing it. It is essential that you follow any security procedures we may introduce from time to time. Regardless of whether you are accessing your KINX PAY INC Account from a public, shared, or private computer, you must always ensure that your login details are not stored by the browser, cached, or recorded in any way. You should avoid using any functionality that allows your login details or password to be saved on the computer you are using.
7.1. Responding to Security Breaches
If you suspect or have any indication that your KINX PAY INC Account, including its login details, password, or any other security feature, has been lost, stolen, misappropriated, used without authorization, or otherwise compromised, you should change your password immediately. You must contact Customer Service without delay if you become aware of any loss, theft, misappropriation, or unauthorized use of your KINX PAY INC Account or its associated security features. Any delay in notifying us could not only jeopardize the security of your account but might also render you liable for any resulting losses if your failure to notify us is deemed intentional or grossly negligent. If you believe that someone else has accessed your KINX PAY INC Account, you should also report the incident to the police.
7.2. Account Suspension and Restrictions
We reserve the right to suspend your KINX PAY INC Account or restrict its functionality if there are reasonable grounds to believe that the account or any of its security features are at risk, or if we suspect unauthorized or fraudulent activity or a compromise of any security feature. We will notify you via email regarding any suspension or restriction, including the reasons for such actions, either in advance or, if not feasible, immediately after the suspension or restriction has taken effect, unless doing so would be unlawful or undermine our security interests. The suspension or restriction will be lifted as soon as reasonably possible once the issues have been resolved.
7.3. Security Threat Notifications
Should we determine that your KINX PAY INC Account is under threat of fraud or a security breach, we will promptly contact you using the fastest and most secure method available based on the contact information you have provided, outlining the necessary steps you must take to mitigate the risk.
8. Closing Your Kinx Pay Inc Account
You may close your KINX PAY INC Account at any time by contacting Customer Service. Please note that fees for the ongoing management of inactive accounts will continue to be charged even after your account is closed. This clause will remain in effect following the termination of your relationship with us.
8.1. Balance Withdrawal
If your KINX PAY INC Account holds a balance at the time of closure, we will request that you withdraw your funds within a reasonable timeframe. During this period, your account will remain accessible solely for the purpose of withdrawing the remaining balance. After this period expires, you will no longer be able to access your account; however, you can still withdraw any remaining funds by contacting Customer Service and arranging for the funds to be transferred in a manner acceptable to us. If you wish to access your transaction history after closing your account, you must contact Customer Service to request this information. This service is available for a period of six years from the date your account is closed. We recommend that you withdraw your remaining funds promptly, as they will not earn interest while in your KINX PAY INC Account. Your obligations regarding the security of your KINX PAY INC Account as set forth in section 7 will continue to apply.
We reserve the right to conduct any necessary checks related to money laundering, terrorism financing, fraud, or other illegal activities before authorizing any withdrawal of your funds, including returning funds after your account has been closed.
9. Legal and Sanctions Compliance
You acknowledge and agree that you are solely responsible for complying with all applicable laws, regulations, and rules related to your use of the Services, including but not limited to those relating to anti-money laundering (AML), counter-terrorist financing (CTF), anti-fraud, tax compliance, and sanctions programs.
KINX PAY INC has zero tolerance for any violation of Canadian or international sanctions laws. In the event of a confirmed match with a sanctioned entity or individual, KINX PAY INC will immediately block the account, escalate the issue internally, and report to the appropriate authorities.
KINX PAY INC complies fully with the regulatory requirements of FINTRAC, OSFI, and any other competent authorities in all jurisdictions in which it operates.
KINX PAY INC reserves the right to request additional information or documentation to verify your identity and to fulfill its regulatory obligations, including Know Your Customer (KYC), Know Your Business (KYB) and AML requirements.
10. Prohibited Transactions
You are strictly prohibited from using our services for the sale or supply of the following:
– Tobacco, prescription drugs, drugs and drug paraphernalia;
– Weapons (including knives, guns, firearms, or ammunition);
– Materials inciting violence, hatred, or racism, or considered obscene;
– Government IDs and licenses (including replicas or novelty items);
– Counterfeit products, shell companies, or entities lacking a verifiable economic purpose;
– Unlicensed or illegal lotteries or gambling services;
– Unregulated cryptocurrency exchanges, wallets, or ATMs;
– Unregistered charity services;
– Pyramid or Ponzi schemes, matrix programs, or “get rich quick” schemes;
– Any products or services that infringe intellectual property;
– Businesses involved in arms dealing, human trafficking, or other illicit activity.
KINX PAY INC reserves the right to expand this list at its sole discretion and may reject or reverse transactions that violate these restrictions.
10.1. Prohibited Countries
KINX PAY INC does not provide services to residents or entities located in countries listed on the FATF blacklist or subject to Canadian or international sanctions.
Clients from jurisdictions under increased monitoring (e.g., FATF grey-listed) or considered high-risk for money laundering or terrorist financing may only be onboarded with enhanced controls and strong justification. Sanctioned jurisdictions and embargoed countries are strictly excluded from service.
10.2. Prohibited Activities
You agree not to engage in any of the following:
(a) Use of the Services for any unlawful or fraudulent purpose;
(b) Violation of any applicable sanctions or embargoes;
(c) Circumvention or attempted circumvention of KYC, AML, or CTF procedures;
(d) Introduction of malicious software or exploitation of the Services;
(e) Infringement of intellectual property rights.
11. Fees and Charges
Fees applicable to the Services shall be disclosed either within the Service interface or separately communicated to you.
KINX PAY INC reserves the right to adjust its fees at any time, subject to providing reasonable notice where legally required.
12. API Usage
KINX PAY INC may provide access to its Application Programming Interface (“API”) to eligible users for the purpose of integrating or enhancing services related to KINX PAY INC’s platform. Subject to these Terms, KINX PAY INC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the API solely for legitimate business purposes, in accordance with the API documentation and any applicable usage guidelines.
You must securely manage your API credentials (e.g., API keys, tokens, or other forms of access credentials). You are solely responsible for all activities that occur using your credentials. You must notify KINX PAY INC immediately if you suspect unauthorized access or any security breach.
You agree not to:
- Use the API in any manner that violates applicable laws or regulations;
- Reverse engineer, decompile, or attempt to extract the source code of the API;
- Use the API to build a competing service or product;
- Interfere with or disrupt the integrity or performance of the API or associated systems.
12.1. Rate Limits and Fair Use
KINX PAY INC may impose rate limits or usage thresholds to maintain service stability and performance. You agree to adhere to these limits and acknowledge that failure to do so may result in temporary or permanent suspension of API access.
12.2. Data Handling
You are responsible for ensuring that any data obtained through the API is handled in compliance with applicable data protection and privacy laws. You must not store or process personal data accessed via the API in an unauthorized or non-compliant manner.
12.3. Termination of Access
KINX PAY INC reserves the right to suspend or terminate your access to the API at any time, with or without notice, for any reason including, but not limited to, breach of these Terms, security concerns, or misuse of the API.
12.4. Disclaimer
The API is provided “as is” and “as available” without warranties of any kind. KINX PAY INC disclaims all liability arising from your use of the API, including any loss of data or service interruption.
13. Intellectual Property
All intellectual property rights in the Services, including but not limited to trademarks, logos, software, and proprietary information, are owned by KINX PAY INC or its licensors.
You shall not reproduce, distribute, or create derivative works based on the Services without prior written consent.
14. Risk Acknowledgment
You acknowledge that financial services, including those involving digital assets, foreign exchange, and cross-border transactions, inherently involve certain risks, including but not limited to market volatility, regulatory changes, technical failures, and cybersecurity threats.
KINX PAY INC shall not be liable for any loss of funds, delays, or damages arising from such risks.
15. Data Protection
You give your explicit consent for us to access, process, and retain any information you provide, solely for the purpose of delivering payment services to you. This does not alter the rights and obligations we each hold under applicable data protection laws. You may revoke your consent at any time by closing your KINX PAY INC Account. Upon doing so, we will stop using your data for this specific purpose; however, we may continue to process your data for other lawful reasons, such as fulfilling legal obligations to retain transaction records.
16. Limitation of Liability
To the fullest extent permitted by applicable law, KINX PAY INC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill.
17. Indemnification
You agree to indemnify, defend, and hold harmless KINX PAY INC and its affiliates, directors, officers, employees, and agents from and against any claims, demands, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of or relating to your breach of these Terms or misuse of the Services.
18. Account Termination
KINX PAY INC may, without liability, suspend or terminate your access to the Services at its sole discretion, including but not limited to in cases of breach of these Terms, suspected illegal activity, or non-compliance with applicable law.
19. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Canada. Any disputes shall be subject to the exclusive jurisdiction of the courts of Canada.
20. Amendments
KINX PAY INC reserves the right to amend these Terms at any time. Such amendments shall be effective upon publication on the Website. Continued use of the Services following any such changes constitutes acceptance of the amended Terms.
21. Entire Agreement
These Terms constitute the entire agreement between you and KINX PAY INC and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.
